Please read these Terms and Conditions of use (including the Limitation of Liability, Medical Advice Disclaimer and Governing Law and Jurisdiction sections) carefully before using Distyly.com.

These Terms and Conditions constitute an agreement between you and Distyly Ltd ("Distyly","us","we" or "our") that operates www.distyly.com a website and mobile applications (collectively "Distyly.com") and govern your use of Distyly.com as a visitor, casual user or registered member (a "Member").

A reference in these Terms and Conditions to "you" or "your" means any visitor or user of Distyly.com including casual users, browsers, customers, contributors of content and Members. These Terms and Conditions incorporate by reference the following additional terms which also apply to and govern your use of Distyly.com:

  • our Cookie Policy, as may be updated from time to time which sets out information about the cookies we use on our Platform;
  • our Privacy Policy, as may be updated from time to time, which sets out the terms on which we process any personal data we collect from you or that you provide to us.

By accessing or using Distyly.com you agree to be bound by these Terms and Conditions and give your consent to the collection and processing of any personal data as set out in our Privacy Policy as updated from time to time. If you do not agree to these Terms and Conditions, you should not use Distyly.com. If you become a Member of Distyly.com you agree to be bound by additional terms that apply to Members.

Privacy Policy and Collection of Personal Data

You agree that you have read, understood and accept our Privacy Policy and Cookie Policy which explains how we process, collect, store and use your personal data. Our Privacy Policy and Cookie Policy form part of these Terms and Conditions. You explicitly consent to the processing, collection, use, access, disclosure, transfer and preservation of the personal data you provide, and we collect in accordance with the terms of our Privacy Policy and Cookie Policy.

Eligibility for Membership Account

To become a Member of Distyly.com and create a "Membership Account" you must be a person aged 16 years or older. By registering as a Member you represent and warrant that you are at least 16 years of age or older as required for a Membership Account and that all information provided to register as a Member and in the course of using or accessing Distyly.com is true and accurate and not misleading.

Organisations, companies and businesses may not become Members of Distyly.com. Members shall not solicit or promote commercial products or services on Distyly.com.

Identity of Members

You agree not to disclose to any person or entity, identifiable information (no matter how such information was obtained) about other Members of Distyly.com, without their express consent.

Membership Account Password and Login

You agree to keep your Membership Account password and login secure and confidential and are responsible for all activities on Distyly.com that occur under your password or Membership Account with or without your knowledge. You agree to immediately notify us of any unauthorised use of your Membership Account password or login or any other breach of security.

Membership Account Termination

You agree that we may, for any reason and without notice, terminate your Membership Account or limit or terminate your access to Distyly.com or any part of Distyly.com.

You agree that we have no obligation to maintain or store any information or data you have provided, posted or uploaded to Distyly.com.

Members can close their own Membership Accounts via the Member Health Record.

Member Notices

Members agree to receive notices from us at the email address linked to their Membership Account.

Contributions to Distyly.com

Members can contribute to Distyly.com in the following ways:

  • by posting information and other content in the Distyly.com "Discussion Forum" ("Forum Posts");
  • by posting in the Resources section of Distyly.com ("Resource Posts");
  • by interacting with content on the site such as suggesting or rating treatments, selecting content that is personally relevant such as symptom and side effects, or by adding brand or dosage information ("Platform Interactions"). A Member's Platform Interactions can be viewed by Members in their Membership Account health record ("Member Health Record") which contains optional information Members can provide if they wish.

A reference in these Terms and Conditions to Platform Contributions shall include all Member contributions in Forum Posts, Resource Posts, Platform Interactions, and the Member Health Record.

You agree that Platform Contributions must:

  • comply with applicable law in the United Kingdom and any other country from which they are posted;
  • not be false, inaccurate, misleading, deceptive, indecent, obscene, unlawful, pornographic or sexually explicit;
  • not be defamatory, libellous, threatening, abusive or hateful;
  • not advocate, promote or assist any unlawful act;
  • not promote or incite discrimination or violence;
  • not be made in breach of any legal duty owed to a third party such as, but not limited to, a contractual duty or duty of confidence;
  • not infringe any copyright, patent, trademark, trade secret or other proprietary rights of any party;
  • not include any adverting or be made for any commercial purposes;
  • not infringe the publicity or privacy rights of any party.

You represent and warrant that your Platform Contributions will comply with the standards set out above and you will be liable to us and indemnify us for any loss, damage or expenses, including but not limited to legal fees we suffer as a result of your breach of this warranty. This means you will be responsible for any loss or damage we suffer as a result of your breach of warranty.

You agree that the content you contribute to Distyly.com is non confidential and non-proprietary. You retain ownership of your content but by contributing it to Distyly.com you grant us and our affiliates the perpetual, royalty free, right to use, copy, display, distribute, translate, store, modify, edit, publish and create derivative works of your content and to make same available to third parties.

You agree that we may disclose your identity to any third party claiming that your contribution to Distyly.com violates their legal rights, including but not limited to privacy or intellectual property rights.

We do not pre-screen, verify or approve Forum Posts and Resource Posts. The views and information contained in Forum Posts and Resource Posts are not endorsed by us. We are not responsible or liable for the content of Forum Posts and Resource Posts or any action or inaction taken by you after reading such posts. We reserve the right to remove Platform Contributions for any reason.

Fees

Membership Accounts are currently free however we reserve the right to vary these Terms and Conditions and charge for Membership Accounts or other services that may be made available on Distyly.com.

Medical Advice Disclaimer

You acknowledge and agree to the following:

  • Distyly.com is not a health care provider and does not provide advice including but not limited to medical or health advice.
  • Use of Distyly.com does not create an expressed or implied physician patient relationship.
  • All content on Distyly.com, including but not limited to, text, treatments, interventions, downloads, attachments, dosages, ratings, brands, rankings, graphics, photographs, images, messages, Forum Posts, Resource Posts and any other material or content on Distyly.com is for general informational purposes and does not constitute health or medical advice, diagnosis or treatment.
  • Distyly.com and its content is not intended to and cannot be used to diagnose, treat, cure or prevent any health issue, condition or disease and cannot be relied upon or substituted for health or medical advice, diagnosis or treatment.

We make no representations, warranties or guarantees, whether express or implied that the content on Distyly.com is suitable for you or any purpose or accurate, complete or up to date.

In using Distyly.com you agree that we will not be liable or otherwise responsible for any decision made or action taken or any action not taken due to your use of any information on Distyly.com.

Use of Distyly.com

You may use Distyly.com only for lawful purposes. You may not use Distyly.com:

  • in any way that interferes with other users or Members' use and enjoyment of Distyly.com;
  • to harass, threaten, solicit or stalk other Members or users of Distyly.com;
  • to use, collect, share, reveal, post, upload or disclose information about other Members, including but not limited to contact information;
  • to slander, defame or libel any person;
  • to express bigotry, racism, hatred or profanity on Distyly.com;
  • to promote or incite discrimination, harm, violence or injury against any individual or group;
  • to deceive or impersonate any person or misrepresent your identity or affiliation with any person;
  • to register more than one Membership Account;
  • to submit false or misleading information;
  • for any commercial purpose such as but not limited to, advertising or promotion of another website, product or service;
  • in any way that breaches these Terms and Conditions or any applicable law or regulation;
  • in any way that infringes our intellectual property rights or those of any third party in relation to your use of Distyly.com;
  • to violate the rights of others;
  • to give rise to criminal or civil liability on the part of any person or entity;
  • in any way that is unlawful or fraudulent or for any purpose that is unlawful or fraudulent;
  • to transmit, send or upload any material or data that contains or links to viruses, trojan horses, spiders, worms, time-bombs, keystroke loggers, spyware, adware or other similar program or code that may affect the operation of Distyly.com;
  • to make or attempt to make Distyly.com unavailable through denial-of-service attacks or any other means;
  • to collect or harvest any information or data in respect of Distyly.com or our systems or attempt to decipher any transmissions to or from the servers running Distyly.com;

We may suspend, withdraw, discontinue or modify all or any part of Distyly.com without notice. We are not liable to you for any reason if Distyly.com or any part, feature or service of Distyly.com is removed or unavailable at any time and for any period of time.

Limitation of Liability

We do not warrant that any content on Distyly.com will be error free and you acknowledge that the information, products, and services published on Distyly.com may include inaccuracies or typographical errors.

We do not guarantee that Distyly.com will be secure or free from bugs or viruses. We will not be liable for any loss or damage caused by a virus, distributed denial-of-service attack, or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of Distyly.com or to your downloading of any content or in respect of any website linked to it.

You acknowledge that we have made Distyly.com available to you in reliance upon these Terms and Conditions (including, these Limitations of Liability).

Intellectual Property Rights

We are the owner of all intellectual property rights in Distyly.com. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.

Indemnity

You agree to indemnify and hold harmless Distyly, its officers, directors, employees, agents, subsidiaries, affiliates and other partners from and against any claims, actions, demands, liabilities and settlements including without limitation reasonable legal and accounting fees resulting from or alleged to result from a breach of these Terms and Conditions.

Governing Law

These Terms and Conditions, subject matter and formation, shall be governed by and construed in accordance with English law, and any disputes relating to these Terms and Conditions will be subject to the exclusive jurisdiction of the courts of England and Wales.

If you access Distyly.com from outside the United Kingdom:

  • we make no representation that Distyly.com or its contents will be suitable for your requirements or that it is permissible or legal for you to access Distyly.com;
  • your use of Distyly.com is entirely at your own risk and you are responsible for ensuring that you act in accordance with applicable laws.

Assignment

We may freely assign or transfer these Terms and Conditions or any of our rights or obligations under these Terms and Conditions to any third party at our discretion. You may not assign or transfer these Terms and Conditions.

Severability

If any part of these Terms and Conditions is determined to be invalid, void or unenforceable pursuant to applicable law including, but not limited to, liability limitations above then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of these Terms and Conditions shall continue in effect.

Continuation

Suspension, termination or cancellation of your Membership Account shall not affect your obligations under these Terms and Conditions, including but not limited to ownership, indemnification and limitation of liability.

No Waiver

No failure or delay by us to exercise any right or remedy provided under these Terms and Conditions or by law shall constitute a waiver of that or any other right or remedy nor shall it prevent or restrict the further exercise of that or any other right or remedy. No single or partial exercise of such right or remedy shall prevent or restrict the further exercise of that or any other right or remedy.

Changes to These Terms and Conditions

We reserve the right to change these Terms and Conditions from time to time. Amended versions of these Terms and Conditions shall govern your use of Distyly.com from the date of the publication of the revised version of these Terms and Conditions on Distyly.com. You should check this page regularly to ensure you are familiar with the current version of these Terms and Conditions.

Entire Agreement

Any rights we have that are not expressly granted in these Terms and Conditions are reserved. Subject to the foregoing statement, these Terms and Conditions, including our Privacy Policy and Cookie Policy, constitute the entire agreement between you and us in relation to your use of Distyly.com, and replace all previous agreements in respect of your use of Distyly.com.
